Terms of Service

• “Creator” means any individual or entity who creates a Page to sell access to a Telegram or WhatsApp community through the Services.
• “Member” means any individual who pays for access to a Creator’s community through a Page.
• “Page” means a checkout page created by a Creator through Memberlet, including its pricing plans, description, and connected communities.
• “Content” means any text, images, video, pricing information, or other material a Creator uploads or links to a Page.
• “Community” means the Telegram group/channel or WhatsApp group a Creator connects to a Page.

2.1 You must be at least 18 years old and have the legal capacity to enter a binding contract to use the Services, whether as a Creator or a Member.

2.2 The Services are currently offered to users in Nigeria only. We may expand or restrict availability by country at our discretion.

2.3 You may not use the Services if you are barred from doing so under applicable law, including sanctions or anti-money-laundering restrictions.

3.1 You must provide accurate, current information when creating an account and keep it up to date.

3.2 You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

3.3 Creators may be required to complete identity verification (“KYC”) before publishing a Page or receiving a payout, including providing a valid form of government-issued ID and bank account details matching their verified identity. We may refuse, delay, or revoke payout eligibility if verification cannot be completed or raises concerns.

4.1 Memberlet is a payment and access-management facilitator. We provide the technology that lets a Creator charge for access to their own Telegram or WhatsApp community and automates adding/removing Members based on payment status.

4.2 Memberlet is not a party to the relationship between a Creator and a Member. We do not create, control, vet, endorse, or take responsibility for the Content, advice, products, or services a Creator offers. Any agreement for what a Page promises is solely between the Creator and the Member.

4.3 Memberlet is not a financial institution, investment adviser, broker-dealer, or licensed financial advisory service, and nothing made available through the Services constitutes financial, investment, legal, or tax advice — regardless of what a Creator’s Page or Community claims. Any Page offering trading signals, investment tips, or similar content does so on the Creator’s sole responsibility, and any regulatory registration required for that activity (including under the Investment and Securities Act 2025) is the Creator’s sole obligation.

4.4 We make no warranty as to the accuracy, legitimacy, quality, or outcome of any Creator’s Content or Community, including any performance claims, win rates, or results a Creator advertises.

4.5 The bot connecting your account to Telegram/WhatsApp only manages membership (adding and removing members based on subscription status). It does not read, store, or post messages in any Community.

4.6 Memberlet is not affiliated with, endorsed by, or officially partnered with Telegram or WhatsApp. Continued access to the Services depends on our continued ability to integrate with those platforms, which is outside our control; we are not liable for service disruption caused by changes to their platforms, APIs, or policies.

By publishing a Page, a Creator represents and warrants that they:

• Own or have the necessary rights to all Content on their Page and to operate their Community;
• Will accurately describe what a Member receives, with no false, misleading, or unsubstantiated claims (including performance results, “verified” outcomes, or guaranteed returns);
• Are not operating, and will not operate, an unregistered investment scheme, Ponzi or pyramid structure, or unlicensed financial advisory service, and will comply with all applicable Nigerian financial services and securities laws, including registration requirements under the Investment and Securities Act 2025 where applicable;
• Will comply with Telegram’s and WhatsApp’s own terms of service in operating their Community and any bot integration;
• Are solely responsible for any tax, regulatory, or legal obligations arising from amounts they receive through the Services;
• Will not use the Services for any purpose prohibited under Section 6.

6.1 You may not use the Services to:

• Promote, operate, or solicit funds for an unregistered or prohibited investment scheme, including any scheme promising guaranteed, unrealistic, or fixed returns;
• Provide investment advisory, portfolio management, or securities trading services without the licences/registration required by Nigerian law;
• Make false or misleading claims about results, performance, win rates, credentials, or affiliations;
• Operate a pyramid, referral-chain, or multi-level structure where earnings primarily depend on recruiting new paying Members rather than a genuine product or service;
• Sell access to illegal content or facilitate illegal activity of any kind;
• Engage in fraud, impersonation, or misrepresentation of any kind toward Members;
• Violate the terms of service of Telegram, WhatsApp, or any third-party platform integrated with the Services;
• Circumvent, disable, or interfere with the security, fraud-detection, or verification features of the Services;
• Use the Services to collect, sell, or misuse Member personal data outside the scope of operating your Community;
• Sell or share pornography, sexually explicit material, or adult sexual services, including escort, “companionship”, or similar services;
• Sell or share content you do not have the right to distribute, including copied or pirated courses, ebooks, films, music, software, or another creator’s paid content;
• Trade, hold, or manage money, foreign currency, or cryptocurrency on Members’ behalf, pool Members’ funds, or buy or sell foreign currency or cryptocurrency for Members. Education and market commentary are permitted, subject to Section 4.3;
• Offer gambling, betting, lotteries, or prize competitions, or sell betting tips advertised as guaranteed, “sure”, or risk-free;
• Sell or share personal information about other people, including phone numbers, email lists, or “leads”;
• Promote hate, violence, harassment, or discrimination against any person or group;
• Sell or promote weapons, illegal drugs, counterfeit goods, or stolen property;
• Sell anything our payment processor, Paystack, does not permit. Its current list is available at support.paystack.com.

6.2 Your Community is covered too. This policy applies to everything shared or allowed in any Community you sell access to through Memberlet, not only to what appears on your Page. You are responsible for what is shared in your Community, including by other admins and Members you allow to post.

6.3 What we monitor. As described in Section 4.5, Memberlet does not read or monitor messages shared inside Communities. If we become aware of a possible breach of this policy, through a report or otherwise, we may act under Section 9, including unpublishing your Page, stopping renewals, withholding payouts pending investigation, and disconnecting your Community.

6.4 We may review, restrict, or require additional verification for any Page or category of Content we determine carries elevated regulatory or fraud risk (including trading/investment-signal Pages), at our sole discretion.

7.1 Memberlet is free to use. We charge a platform fee of 7% on each successful payment, deducted before funds are remitted to the Creator. There are no subscription or setup fees.

7.2 Payments are processed through Paystack. Funds are remitted directly to the Creator’s verified bank account; Memberlet does not hold Member funds beyond the time required to process a transaction.

7.3 Currency is Nigerian Naira (NGN) unless otherwise stated on a Page.

7.4 We may withhold, delay, reverse, or freeze a payout where a Page is under investigation for suspected fraud, a violation of these Terms, or a legal/regulatory request, without liability to the Creator for resulting loss of funds or income during that investigation.

8.1 A Member gains access to a Community upon successful payment and retains access for the paid period.

8.2 Subscriptions renew automatically unless cancelled by the Member before the renewal date.

8.3 If a renewal payment fails, we will attempt to retry the payment and allow the Member 3 days to resolve the issue before access is automatically revoked.

8.4 When a Member cancels or a subscription lapses, access continues until the end of the already-paid period, after which the Member is automatically removed. There is no partial refund for the unused portion of a paid period, except as required by applicable consumer protection law or as a Creator may separately agree.

9.1 We may suspend or terminate any account, Page, or Community connection, without notice, where we reasonably suspect fraud, a violation of these Terms, or a legal/regulatory risk.

9.2 Members may report a Page, Creator, or Community for suspected fraud, misrepresentation, or any breach of Section 6 via support@memberlet.com. We will review reported Pages and may suspend payouts pending investigation.

9.3 Enforcement action under this section does not obligate Memberlet to issue a refund, and does not constitute an admission of liability by Memberlet for the underlying Creator conduct.

10.1 Memberlet retains all rights in the Services, including our software, branding, and platform design.

10.2 Creators retain ownership of their own Content but grant Memberlet a limited licence to host, display, and process that Content as necessary to operate the Services.

The Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that any Creator’s Content is accurate, legal, or legitimate.

To the maximum extent permitted by law, Memberlet’s total liability for any claim arising from the Services shall not exceed the total fees paid by or on behalf of the claimant to Memberlet in the six (6) months preceding the claim. Memberlet shall not be liable for any indirect, incidental, consequential, or punitive damages, including losses arising from a Creator’s Content, conduct, or Community, or from any investment or financial decision made in reliance on Content accessed through the Services.

Each Creator agrees to indemnify, defend, and hold harmless Memberlet, its officers, employees, and affiliates from any claim, loss, liability, fine, or expense (including reasonable legal fees) arising from: (a) their Content or Community; (b) their violation of these Terms or applicable law; (c) any claim brought by a Member or regulator relating to their Page.

Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms.

We may suspend or terminate access to the Services at any time, with or without cause, including for violation of these Terms. Creators may close their account at any time; outstanding obligations (including fraud investigations) survive termination.

16.1 These Terms are governed by the laws of the Federal Republic of Nigeria.

16.2 Any dispute arising from these Terms shall first be attempted to be resolved informally by contacting support@memberlet.com. If unresolved within thirty (30) days, disputes shall be subject to the exclusive jurisdiction of the courts of the Federal Capital Territory, Abuja, Nigeria.

We may update these Terms from time to time. Material changes will be notified via the Services or by email. Continued use after changes take effect constitutes acceptance.

18.1 If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.

18.2 These Terms, together with the Privacy Policy, constitute the entire agreement between you and Memberlet regarding the Services.

18.3 Memberlet’s failure to enforce a provision is not a waiver of that provision.

18.4 You may not assign your rights under these Terms without our consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
